Terms of Service

Effective October 30, 2026

Please read these terms carefully. They include a binding arbitration agreement and a class action waiver (section 17) that affect how disputes are resolved, and they limit our liability (sections 14 and 15).

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Enterprise Alliance Systems, Inc. ("EASI") ("we", "us", "our") about your use of NotePaint, including the website, apps and related services (the "Service"). By creating an account, or by using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.

If you use the Service on behalf of an organization, you agree to these Terms for that organization and confirm you have authority to do so; "you" then includes the organization.

2. Who may use NotePaint

You must be at least 18 years old (or the age of majority where you live, if higher) and able to form a binding contract. You may not use the Service if you are barred from doing so by law, or if we previously closed your account.

3. The Service is free, and it may change

NotePaint is currently offered free of charge. We may add, change, limit or remove features, set storage or usage limits, introduce paid plans (we will never charge you without your agreement), or suspend or discontinue the Service, in whole or in part, at any time, with or without notice. We have no obligation to provide any particular feature, level of availability, support, or updates.

4. Your account

You sign in with a third-party account such as Google or Microsoft. You're responsible for keeping that account secure and for everything that happens under your NotePaint account. Tell us promptly at support@easiintl.com if you think someone has accessed it without permission. We are not responsible for losses caused by unauthorized use of your account.

5. Your content

You own your content. "Your content" means the notes, text, screenshots, images, handwriting, drawings and other material you add to the Service. We don't claim ownership of it.

License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display and adapt (for example, resize or render) your content only as needed to operate, secure, back up and improve the Service and to provide it to you. This license ends when your content is deleted from the Service, except for copies kept in backups for a limited time or as required by law.

Your responsibility. You are solely responsible for your content and for having the rights to add it. You confirm that your content, and our use of it under these Terms, does not violate any law or anyone else's rights, including copyright, trademark, privacy, publicity, confidentiality, and contractual obligations such as your employer's policies.

Screenshots. NotePaint makes it easy to capture whatever is on your screen. Only capture and store material you are allowed to. Don't capture other people's private or confidential information, or material you are not permitted to copy, without the right to do so.

Don't store sensitive data. The Service is not designed for, and you must not use it to store, protected health information, payment card numbers, bank account details, government ID numbers, passwords or other credentials, export-controlled data, or other information subject to special legal protection. We are not responsible for such information if you store it anyway.

6. Acceptable use

You agree not to, and not to help anyone else to:

We may, but are not required to, review, remove or disable access to any content, and may suspend or close accounts, if we believe in good faith that these Terms are being broken or that action is needed to protect the Service, our users, us, or others.

7. Keep your own copies

We work to keep the Service reliable, but we don't guarantee that your content will always be available or won't be lost or damaged. You are responsible for keeping your own backups of anything you can't afford to lose (you can download any note as an image). To the fullest extent permitted by law, we are not liable for any loss, corruption or unavailability of your content.

8. Copyright complaints

We respect intellectual property rights. If you believe material in the Service infringes your copyright, send a notice to support@easiintl.com that includes: your physical or electronic signature; a description of the copyrighted work; a description of where the material is located in the Service; your contact information; a statement that you have a good-faith belief the use is not authorized by the owner, its agent or the law; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner. We may remove material in response and will close the accounts of repeat infringers in appropriate circumstances.

9. Feedback

If you send us ideas, suggestions or other feedback, we may use them for any purpose without obligation or payment to you.

10. Our property

The Service, including its software, design, text, graphics, logos and the NotePaint name, is owned by us or our licensors and is protected by law. These Terms give you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service as offered, and nothing else. We reserve all rights not expressly granted.

11. Third-party services

The Service relies on third parties, such as Google and Microsoft for sign-in and cloud providers for hosting. Your use of their services is governed by their own terms and policies, and we are not responsible for them.

12. Ending your use

You may stop using the Service at any time, and you can ask us to delete your account by writing to support@easiintl.com. We may suspend or terminate your access, or delete your account and content, at any time and for any reason, including inactivity, breach of these Terms, or discontinuing the Service. Where reasonable we will try to give notice so you can download your content, but we are not required to. Sections 5 (your responsibility and our backup copies), 7, 9, 10 and 13 through 19 survive termination.

13. Disclaimers

The Service is provided "as is" and "as available", with all faults and without warranties of any kind. To the fullest extent permitted by law, we disclaim all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, that content will be preserved, or that handwriting recognition, screen capture or any other feature will be accurate or fit your needs. You use the Service at your own risk.

14. Limitation of liability

To the fullest extent permitted by law, in no event will we, our affiliates, or our or their officers, directors, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, content, profits, revenue, goodwill or business opportunity, arising out of or relating to these Terms or the Service, however caused and under any theory of liability, even if we have been advised of the possibility of such damages.

Our total liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) fifty U.S. dollars (US $50).

Some jurisdictions don't allow certain of these exclusions or limits, so some may not apply to you. In that case our liability is limited to the smallest extent the law allows.

15. Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless us, our affiliates, and our and their officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, or your breach of these Terms or of any law or anyone's rights.

16. Governing law

These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to section 17, any claim must be brought exclusively in the state or federal courts located in Harris County, Texas, and you and we consent to their personal jurisdiction. Any claim relating to the Service must be brought within one (1) year after it arises, or it is permanently barred, to the extent the law allows.

17. Arbitration and class action waiver

Informal resolution first. Before filing a claim, you and we each agree to try to resolve the dispute informally for at least 30 days after written notice (to us at support@easiintl.com).

Binding arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. Either party may instead bring an individual claim in small claims court, and either party may seek an injunction in court to stop infringement or misuse of intellectual property.

Class action waiver: you and we may bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

Opting out. You may opt out of this arbitration agreement by emailing support@easiintl.com within 30 days after you first accept these Terms, with your name, the email you sign in with, and a clear statement that you opt out. If this section is found unenforceable as to a claim, that claim will be decided in court under section 16, and the class action waiver still applies to the extent the law allows.

18. Changes to these Terms

We may update these Terms. When a change is material we will ask you to review and accept the new Terms the next time you use the Service; if you don't accept them, you must stop using the Service. Other changes take effect when posted. The date at the top shows when these Terms last changed.

19. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service and replace any earlier agreements on that subject. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization or sale of assets, or by operation of law. We are not liable for delays or failures caused by events beyond our reasonable control. You will comply with all applicable export and sanctions laws. There are no third-party beneficiaries. Notices to you may be sent to the email associated with your account or shown in the Service.
